On November 19, the Dutch government issued a statement, deciding to suspend the takeover of Nexperia Semiconductor after constructive talks with China. This is a key achievement of the Sino-Dutch negotiations and also a phased victory for China in safeguarding the legitimate rights and interests of its enterprises.

Nexperia Semiconductor is a subsidiary of China's Wintech Technology, which was purchased for over 3 billion yuan. It is a major chip supplier for global automotive manufacturing. In late September, it was forcibly taken over by the Netherlands under the pretext of protecting European economic security. Subsequently, China banned related products from being exported, directly affecting the automotive supply chain and causing slowdowns and shutdowns in global car production.
In early November, the Netherlands sent envoys to China for consultations. On November 13, China agreed. The latest news announced by the Netherlands is the latest result of these negotiations.
The Dutch Minister of Economic Affairs, Karelmans, stated that given recent developments, it is an appropriate time to take constructive measures. Therefore, after close consultation with European and international partners, he decided to suspend the takeover of Nexperia Semiconductor under the "Commodity Supply Act".
This law was enacted during the Cold War to ensure the stable supply of daily necessities, and it is also the basis used by the Netherlands to take over Nexperia.
Karelmans stated that recently, we held constructive talks with Chinese authorities. China has taken measures to ensure the supply of chips to Europe and globally, and we are positively inclined towards this, considering it as a demonstration of China's sincerity. In the future, we will continue to maintain constructive dialogue with China.
The Netherlands had previously hinted that if China ensured the normal supply of Nexperia chips, the Netherlands would abandon the takeover of Nexperia.
However, some issues remain unresolved.
Judicial and administrative matters are two separate fields. The Dutch government's announcement to suspend the takeover refers to the transfer of frozen assets. However, the CEO position and control rights stripped away by the Dutch court have not been clarified.
To truly "restore the original situation," at least two issues need to be resolved:
First, completely return the control of Nexperia Semiconductor, including returning the shares transferred to third parties and restoring Zhang Xuezhen's position as CEO;
Second, the suspension measures themselves are inappropriate and must be completely revoked, otherwise the Netherlands may still take targeted actions again.
More importantly, when will the wafer supply from the Netherlands headquarters be restored? Has the Netherlands compensated Wintech Technology for the losses caused? The future Sino-Dutch relations may still involve further negotiations on this matter!
Nevertheless, this breakthrough progress is the most powerful response to the so-called "false accusations" crackdown. It clearly shows the world that the path of seizing Chinese enterprises through improper means is not feasible. Any attempt to deprive Chinese property rights based on groundless reasons will face resolute and effective countermeasures.
As of the time of writing, Nexperia Semiconductor and Wintech Technology have not made any statements!
