Nexperia's Dutch headquarters has denied the allegations by Nexperia China that it disrupted production by blocking wafer supplies. Despite Beijing's measures to restore supply of key automotive components, the internal disputes within the Dutch company continue.

Nexperia's Dutch headquarters issued a statement on Friday, saying, "Nexperia welcomes the recent decision by Chinese authorities allowing the company's Chinese factory and its subcontractors to resume exports. Although this is a positive development, we need to point out that this measure is an exemption from export restrictions, and the supply chain has not been fully restored."

Regarding compliance with Dutch government instructions, Nexperia's Dutch headquarters stated, "Regarding the rumors and media reports about the removal of the Dutch government's instructions, Nexperia solemnly states that it has not yet received any official notification from the Dutch Ministry of Economic Affairs, and the company will continue to strictly comply with the relevant government instructions."

Regarding the corporate court ruling and the position of the CEO, Nexperia's Dutch headquarters said, "It needs to be clearly stated that the corporate court ruling and the Dutch government's instructions are two separate matters, with no dependency between them. The corporate court is a special branch of the Amsterdam Court of Appeal. Regarding the rumors about Mr. Zhang Xuezhen resuming his position as CEO of Nexperia, the company reiterates that according to the corporate court's ruling on October 7, 2025, Mr. Zhang Xuezhen has been suspended from his position and is no longer serving as the CEO of Nexperia. Furthermore, the corporate court ruled that the voting rights held indirectly by Wenxiang Technology over Nexperia have been taken over by an independent administrator appointed by the corporate court."

Regarding the supply chain issue, Nexperia's Dutch headquarters stated, "Nexperia solemnly states that the company has not completely stopped wafer shipments. We have always been committed to delivering wafers to the supply chain and continuously providing customers with alternative supply chain solutions to minimize disruptions and ensure delivery continuity. For example, directly selling and shipping wafers to customers."

The statement continued, "We have established a dedicated team, continuously striving to explore and implement practical solutions. The company solemnly commits to maintaining existing emergency measures until the supply chain is fully restored. All production bases of Nexperia located in Europe and other regions in Asia are currently operating normally. At the same time, the company is prioritizing capacity expansion, expecting to achieve these goals in phases in 2026."

Regarding the abnormal operations of the company, Nexperia's Dutch headquarters stated, "The Nexperia China entity has deviated from the established corporate governance framework and has not followed the legal instructions of Nexperia B.V.'s global management. Specific manifestations include: refusing to pay for related wafers; misappropriating company seals without just cause or explanation; setting up unauthorized bank accounts and requesting customers to transfer funds to these accounts; sending unauthorized letters containing false information to customers, subcontractors, third-party suppliers, and employees."

The statement added, "Despite these situations, Nexperia continued to supply wafers directly to its Chinese factory during October 2025 under the export restrictions in China. Based on the wafer shipment volume during that period, the company's governance requirements for minimum inventory, and the Chinese authorities' restrictions on finished product shipments, we assess that Nexperia China should have sufficient wafer and finished product inventory to maintain operations for several months. Any claims of insufficient inventory raise serious doubts about the inventory management of the local management in China. Therefore, any failure to complete shipments should be attributed to the Nexperia China entity."

Earlier, Nexperia China released a collective letter to all employees on Friday, stating, "We believe you have seen the letter sent by Stefan Tilger, the interim CEO of Nexperia Netherlands, to all employees of Nexperia China on November 12, 2025. This letter disregards the facts and attempts to confuse the public, fully reflecting the attitude of some managers in Nexperia Netherlands who are shirking responsibility and disregarding the interests of employees in Nexperia China."

Nexperia China said, "In response to the improper intervention of the Dutch government, Nexperia China has actively carried out 'self-rescue in production' in accordance with Chinese laws and regulations, striving to maintain the orderly progress of various production and business activities and cooperate with the Chinese government's requirements to resume the export supply for civilian use. However, some managers in Nexperia Netherlands have maliciously obstructed and interfered with the production and operation of Nexperia China by cutting off wafer supplies and questioning the quality of products from Nexperia China, even shirking their obligations and responsibilities towards Nexperia China, and failing to disburse funds and provide necessary support to Nexperia China as agreed. Such behavior disregards the interests of a large number of customers, Nexperia China, and all employees, which is very irresponsible and contradicts the statements made in the letter about Nexperia Netherlands's commitment to 'the high importance and commitment to Chinese business and Chinese employees' and 'always firmly supporting the Chinese team'."

Nexperia China also stated, "Despite the improper intervention of the Dutch government and the malicious obstruction and shirking of responsibility by some managers in Nexperia Netherlands, Nexperia China still has the ability, confidence, and responsibility to pay full salaries and benefits to all employees of Nexperia China. Currently, all employee salaries and benefits at Nexperia China are normal."

Previously, The Guardian published an interview with Dutch Minister of Economic Affairs Vincent Karremans on Thursday. This key figure involved in the confrontation between the Netherlands and China over Nexperia Semiconductor stated that he has no regrets and would do the same if needed.

Karremans detailed the entire course of the dispute in the interview, recalling discussions with German counterparts, the automotive industry, and U.S. officials, and mentioning key intelligence indicating that Nexperia was transferring part of its Hamburg operations to China.

In Beijing, the spokesperson for the Chinese Ministry of Commerce responded to Karremans' comments on Thursday, stating, "The Chinese side has noted the recent remarks by Dutch Economic Affairs Minister Vincent Karremans in the media. The Chinese side expresses extreme disappointment and strong dissatisfaction with such misleading, distorted, and one-sided remarks."

The spokesperson also said, "In the short term, with the efforts of the Chinese side, the semiconductor supply chain crisis has somewhat eased. However, due to the actions of the Dutch side, the global semiconductor supply chain remains vulnerable, and the situation is still severe. The Dutch side ignores the safety and stability of the global semiconductor supply chain, not only failing to take actual actions to solve the problem, but also allowing Nexperia (Netherlands) to refuse to supply wafers to Chinese companies and send legal letters to prevent Chinese subcontractors from supplying externally, leading to many automakers still facing supply risks, upgrading the internal conflict of one company into a systemic risk of the global semiconductor supply chain."

The spokesperson also stated, "China's position and attitude have always been consistent. China has agreed to the Dutch side sending personnel to China for negotiations and is willing to work with the Dutch side to resolve the current crisis as soon as possible, starting from the overall situation of maintaining the safety and stability of the global semiconductor supply chain. However, it must be emphasized that the Dutch side should come with constructive solutions rather than just going through the motions or repeating old tunes; they should come to solve the problem rather than create new problems and conflicts. We hope the Dutch side genuinely demonstrates the willingness to cooperate sincerely with China and quickly proposes substantive and constructive solutions to the problem."

It is understood that Nexperia Semiconductor has manufacturing plants in Germany and the UK, transporting wafers to factories in China, Malaysia, and the Philippines for testing and assembly, and then many finished products are transported back to Europe. Its factory in Dongguan, Guangdong is one of the largest factories of its kind in the world.

Additionally, the Dutch government issued a statement on Thursday that a Dutch delegation will travel to Beijing next week to seek a "mutually acceptable" solution to the issues surrounding Nexperia Semiconductor.
