Analog Devices China: Will not allow external forces to influence company operations or harm employee interests
On October 19, the WeChat official account "Analog Devices Semiconductor" published a letter from Analog Devices China to all employees.
It emphasized that the domestic companies of Analog Devices are Chinese enterprises with operations rooted in China and a global strategy, and must abide by Chinese laws and operate in compliance with regulations. At any time, the domestic companies of Analog Devices are independent Chinese enterprises with their own business operations and decision-making. The legal representative has the right to represent the will of the company and is ultimately responsible for all operational decisions. Directors, supervisors, and senior management have a duty of loyalty and diligence towards the company.
The letter stated that for any external instructions not approved by the legal representative of the domestic company of Analog Devices (even if transmitted through Outlook, Teams, etc.), everyone has the right to refuse to execute them without constituting a violation of work discipline or legal provisions.
In addition, the letter wrote that all operations of the domestic entities of Analog Devices and employee salaries and benefits are normal. Currently, the company's production and operation are proceeding as usual, and all work is being carried out in an orderly manner. The board of directors and management team are always fully committed to ensuring the normal operation of the company, and will not allow external forces to affect the company's operations or harm the interests of employees. Colleagues of the domestic team of Analog Devices have established labor relations with the domestic company, and their wages, bonuses, and other benefits will continue to be paid by the domestic company of Analog Devices rather than the Nexperia Netherlands entity.
The following is the full text of this letter:
Dear colleagues:
Hello! We believe that you have already learned from public information about the intervention of the local government on the Dutch branch of Wintech Technology, Analog Devices Semiconductor (Nexperia), and the Ministry of Commerce of our country has also issued an export control notice regarding the Chinese company of Analog Devices Semiconductor and its subcontractors. Recently, the China Semiconductor Industry Association stated that it will continue to pay attention to the development of the situation and express concerns to the international community through legal means. On the afternoon of October 16, 2025, the spokesperson of the Ministry of Commerce of our country hoped that the Dutch side would adhere to the spirit of contract and correct the wrong approach; on the same day, you received an email titled "Global Legal Update: Trusted Communications" sent under the name of the Chief Legal Office of Nexperia. The company fully understands your concern about this matter and the possible confusion caused by the above email, and hereby makes the following explanation to clarify the facts:
First, the domestic companies of Analog Devices are Chinese enterprises with operations rooted in China and a global strategy, and must abide by Chinese laws and operate in compliance with regulations. According to relevant laws and regulations such as the Company Law of the People's Republic of China, the company has an independent legal person status, and no one may abuse their rights to damage the interests of the company and shareholders. At any time, the domestic companies of Analog Devices are independent Chinese enterprises with their own business operations and decision-making. The legal representative has the right to represent the will of the company [and is ultimately responsible for all operational decisions], and directors, supervisors, and senior management have a duty of loyalty and diligence towards the company. According to Chinese labor laws and regulations, all employees have the obligation to abide by the company's labor discipline and complete their work according to the company's requirements. Therefore, all employees should continue to follow the work instructions of the domestic company of Analog Devices. For any external instructions not approved by the legal representative of the domestic company of Analog Devices (even if transmitted through Outlook, Teams, etc.), everyone has the right to refuse to execute them without constituting a violation of work discipline or legal provisions.
Second, all operations of the domestic entities of Analog Devices and the salaries and benefits of employees are normal. The domestic company of Analog Devices has the ability, responsibility, and willingness to protect the rights and interests of all employees and continue to create a safe working environment for everyone. If any colleague receives further communication from external individuals, is subjected to any external pressure, or has any doubts about work instructions, they can contact the company's human resources team at any time (contact person: Louis Wu, contact information: atgd.hrm.er@nexperia.com), and the company will provide strong support immediately with professional teams.
