We have noted that on November 27, 2025, Nexperia B.V. published an alleged "open letter to the leadership of Nexperia China" on its official website. This letter disregards the facts and attempts to confuse the public, causing significant misguidance in the market. It also fully reflects that some management personnel at Nexperia Netherlands are still avoiding the root causes of the issues to this day and continuously shirking responsibility. Nexperia China solemnly issues the following statement:

1. Nexperia China is not in a situation where it cannot be contacted.

2. The actions of the Dutch side are the main cause of the current global supply chain chaos.

3. Nexperia China is fully committed to ensuring the stability of the supply chain.

4. Many improper actions by Nexperia Netherlands have seriously disrupted the stability of the supply chain and damaged trust.

In order to maintain the stability and smooth operation of the global semiconductor supply chain and protect the legitimate rights and interests of all parties in the industry, Nexperia China solemnly proposes the following requirements to Nexperia Netherlands:

1. Face the core issues and actively engage in negotiations: face up to the core conflicts that have led to the destruction of the supply chain, put forward truly constructive solutions, and take the initiative to conduct sincere negotiations with relevant parties on the key issue of control, and take concrete actions to promote the resolution of the problem.

2. Halt overseas expansion and abide by industrial division of labor: immediately stop the capacity expansion plans in overseas regions such as Malaysia, respect the long-term established principles of division of labor and collaboration in the global semiconductor industry, abandon the improper intention to replace Chinese production capacity, and safeguard the long-term development interests of the entire Nexperia semiconductor industry.

3. Restore normal supply and ensure the operational foundation: immediately resume the supply of essential wafers for production to Nexperia China, promptly pay the overdue payments, ensure the legitimate rights and interests of Nexperia China's employees and the basic operations of the enterprise, and eliminate artificial obstacles in the production process.

4. Stop pressuring suppliers and restore normal collaboration: terminate all unreasonable pressure on suppliers, revoke the mandatory instructions requiring suppliers to stop supplying Nexperia China, restore normal business collaboration between Nexperia China and suppliers, and clear obstacles for the smooth operation of the supply chain.
