Guangdong Wintec Technology sues Nexperia over control dispute, seeking RMB 8 billion in compensation

Wintec Technology stated on Friday that the company and its subsidiaries have filed a lawsuit against Nexperia Semiconductor and related entities and individuals, initially claiming RMB 8 billion (approximately USD 1.18 billion) in damages to compensate for economic losses. In a "Major Litigation Announcement" submitted to the Shanghai Stock Exchange, Wintec Technology said that the Intermediate People's Court of Dongguan City, Guangdong Province, has accepted the case, which has not yet entered formal trial proceedings.

As the plaintiff, Wintec Technology wrote in the announcement: "The defendants unlawfully carried out or assisted in carrying out discriminatory restrictive measures imposed by Dutch parties, causing irreparable massive losses to the plaintiff. The plaintiff demands that the defendants jointly compensate the plaintiff for economic losses, temporarily calculated at RMB 8 billion, with the exact amount to be further clarified and adjusted later."

Wintec Technology noted that the case has not yet entered formal trial, and due to the uncertainty of litigation outcomes, it is currently unable to estimate the specific impact of this case on the company’s financial condition, current period profits, or future profits. The company will promptly fulfill its information disclosure obligations based on developments in the litigation. Investors are advised to invest rationally and pay attention to investment risks.

Wintec Technology stated that the company and its subsidiary, Yuching Holding Limited (hereinafter referred to as "Yuching Holding"), recently initiated legal proceedings before the people’s court regarding an infringement liability dispute involving Ruben Everard Gerard Lichtenberg (Chief Legal Officer of Nexperia), Achim Albert Kempe (Chief Operating Officer of Nexperia), Stefan Tilger (Chief Executive Officer of Nexperia), Nexperia Holding B.V., Nexperia B.V., and ITEC B.V. The company has received the "Notice of Case Acceptance" from the Intermediate People's Court of Dongguan City, Guangdong Province (Case No.: (2026) Yue 19 Min Chu 117).

The claims put forward by Wintec Technology include: confirming that the defendants’ conduct falls under executing or assisting in executing discriminatory restrictive measures taken by a foreign country; ordering the defendants to immediately cease any such infringing acts of executing or assisting in executing discriminatory restrictive measures; requiring the defendants to jointly compensate the plaintiff for economic losses caused by their execution or assistance in executing discriminatory restrictive measures, temporarily calculated at RMB 8 billion (subject to further clarification and adjustment); and ordering the defendants to bear all litigation costs in this case.

Wintec Technology emphasized: "We will exhaust all legal means to restore full control of Nexperia to our company and safeguard the rights and interests of investors."

Previously, Nexperia Semiconductor stated in a press release on Wednesday: "We emphasize that we have never, and have no intention of, harming the interests of Wintec Technology’s shareholders. Nexperia Semiconductor filed a lawsuit with the Amsterdam Enterprise Court in October 2025, with the sole purpose of halting serious misconduct by multiple senior management members, including the former (now suspended) CEO Mr. Zhang Xuezhen. Since the incident occurred, we have repeatedly invited Wintec Technology’s management to engage in constructive dialogue aimed at achieving mutual benefit, but have not yet received a positive response. For questions regarding why Wintec Technology’s management has not responded constructively, please consult their management directly."
