Important Statement Regarding the Validity of Mr. Zhang Qiuming's Position as Vice President of Nexperia Global Sales and Marketing

To all employees, partners, customers, and stakeholders of Nexperia China and globally:

In order to ensure the continuity of Nexperia's business and management stability both globally and in the Chinese market, according to relevant Chinese laws and regulations and administrative guidance, Nexperia (China) Co., Ltd. (hereinafter referred to as "Nexperia China") hereby makes the following formal statement regarding the recent unilateral decision by the Netherlands headquarters to remove Mr. Zhang Qiuming from his position as Vice President of Sales and Marketing:

I. The Relevant Decisions of the Netherlands Headquarters Have No Legal Effect Within China

After careful consideration and confirmation with professional legal institutions, Nexperia China has determined that the unilateral dismissal decision issued by Nexperia Netherlands does not comply with the articles of association of Nexperia China and the mandatory provisions of Chinese laws and regulations such as the Company Law of the People's Republic of China and the Labor Contract Law of the People's Republic of China. Therefore, this decision does not have legal effect under Chinese law.

II. Mr. Zhang Qiuming's Position Remains Unchanged

Based on the aforementioned legal facts and the requirements of Chinese labor law, Mr. Zhang Qiuming's employment contract has not been legally terminated or amended. Mr. Zhang Qiuming's position as Vice President of Global Sales and Marketing at Nexperia remains valid. He will continue to fulfill his previous job responsibilities, fully responsible for and leading all sales operations, customer relationship maintenance, supply chain coordination, and daily business decisions for Nexperia globally, including the China region.

III. Actions Within Mr. Zhang Qiuming's Authority Represent Nexperia China

All business activities conducted by Mr. Zhang Qiuming or his authorized representatives for the purpose of Nexperia's business operations—including but not limited to contract signing, agreement making, issuing management instructions, and external commitments—are considered formal actions of Nexperia China, which have complete legal effect, and Nexperia China will bear all legal liabilities arising therefrom.

IV. All Business Operations of Nexperia China Are Normal

Currently, all business activities, production operations, and external cooperation of Nexperia China are being carried out in an orderly and normal manner under the framework of laws and management systems, and are not affected by any unilateral external decisions. We have the full capability to ensure the continuity and stability of our business.

We firmly believe that the current dispute stems from foreign governments and some individuals at Nexperia Netherlands who disregard the spirit of contract and Chinese laws, interfering with the company's normal operations and creating unnecessary chaos, putting the company's interests, shareholders' rights, and customer rights aside. Changes in the external environment will not shake the foundation of Nexperia China's lawful and compliant, stable operations, nor will they affect the long-established, solid, trusting, and win-win cooperation between Nexperia China and its partners and customers. Recently, the Dutch government, citing "national security," imposed a forced administrative takeover on Anwell Semiconductor, a subsidiary of China's chip manufacturer Wintek Technology, froze its global assets worth up to 14.7 billion yuan, and initiated procedures to remove the Chinese management team.

On September 30 local time, Wintek Technology and its subsidiary Nexperia Semiconductor received a ministerial order from the Dutch Ministry of Economic Affairs and Climate Policy, as well as a ruling from the Amsterdam Appeal Court's corporate court, which temporarily restricted the company's control over Nexperia, and suspended the position of Chairman and CEO of Nexperia, Mr. Zhang Xuezhen.

The next day, three foreign executives of Nexperia Semiconductor took simultaneous action, representing the company to submit an emergency application to the Dutch corporate court, citing "governance deficiencies" and "risk of technology leakage," requesting the suspension of Mr. Zhang Xuezhen's position and the initiation of an investigation.

Without a hearing, without adequate defense, and without sufficient evidence, the Dutch court directly issued three shocking rulings on October 7: depriving the Chinese management of their authority, introducing external control, and appointing a foreigner as an independent director. From the administrative freeze on September 30 to the completion of the CEO change and equity custody in all core rulings on October 7, the entire process only took seven days. In comparison, the average processing period for similar cases in Europe is about three months, raising doubts about whether the judicial procedures were accelerated to align with administrative goals.

According to a notice released by Nexperia Semiconductor on October 14, the Chinese Ministry of Commerce had already issued an export control notice on October 4, prohibiting Nexperia China Co., Ltd. and its subcontractors from exporting specific finished components and sub-components produced within China.

The trade tensions caused by Nexperia Semiconductor are now continuing to exert pressure on the global automotive industry. According to a report by CNN, the chips produced by Nexperia are crucial for car assembly. There are concerns that the trade disputes could lead to a disruption in the production of Nexperia's chips, and finding alternatives is not easy. Automotive industry organizations in Europe and the United States have issued warnings, stating that the chip supply crisis is spreading to the U.S. automotive manufacturing sector.

According to the website of the Ministry of Commerce, on October 21, Minister of Commerce Wang Wenbao spoke on the phone with Dutch Minister of Economic Affairs Karelmans upon request and exchanged views. Wang Wenbao stated that China highly values Sino-Dutch economic and trade cooperation. The measures taken by the Dutch side against Nexperia Semiconductor have seriously affected the stability of the global supply chain. China urges the Dutch side to take into account the overall situation of maintaining the safety and stability of the global supply chain, uphold the spirit of contract and the principles of marketization and rule of law, and resolve the issue as soon as possible in a proper manner, protecting the legitimate rights and interests of Chinese investors, and creating a fair, transparent, and predictable business environment.

Karelmans stated that the Dutch side highly values Sino-Dutch economic and trade relations and is willing to closely communicate with China to find a constructive solution to the Nexperia Semiconductor issue.
