Wangtai Technology Co., Ltd. (hereinafter referred to as "Wangtai Technology" or "our company") has noted the statement issued by the Minister of the Dutch Ministry of Economic Affairs and Climate Policy on November 19, 2025, regarding the "suspension of its administrative order issued on September 30, 2025, under the Act on Availability of Goods against NXP." As the sole controlling shareholder of NXP Semiconductor, Wangtai Technology attaches great importance to this matter and hereby makes the following response regarding the relevant issues:

I. Position of Our Company on the Decision by the Dutch Ministry of Economic Affairs

Our company notes that the above statement by the Dutch Minister was made after consultations between the Chinese Ministry of Commerce and the Dutch Ministry of Economic Affairs. We sincerely appreciate the significant efforts made by the Chinese Ministry of Commerce in resolving the NXP Semiconductor issue and in this Sino-Dutch consultation. The Dutch Minister's statement on suspending the administrative order reflects a certain degree of recognition of the current issue, and our company believes this is the first step toward properly addressing the problem. The fact that the Dutch Ministry of Economic Affairs has suspended the implementation of the administrative order itself also indicates the illegality and impropriety of its previous actions.

It should be clarified and stated that although the administrative order has been declared suspended, the emergency measures taken by the Enterprise Court of the Amsterdam Court of Appeal (hereinafter referred to as the "Enterprise Court") have not been canceled. The restrictions and violations of the legitimate rights and interests of Chinese shareholders and personnel are still ongoing. The Dutch Ministry of Economic Affairs merely announced the suspension of the administrative order, avoiding the erroneous ruling by the Enterprise Court, which deprived Wangtai Technology of its control over NXP, and has not addressed the core of the problem.

II. The Dutch Ministry of Economic Affairs Has the Obligation to Thoroughly and Comprehensively Resolve the NXP Semiconductor Issue

The administrative order issued on September 30, 2025, was only the beginning of a series of actions by the Dutch government. After the issuance of the administrative order, the Dutch Ministry of Economic Affairs personally participated in the Enterprise Court proceedings initiated by part of the European management of NXP Semiconductor, claiming to be a party with a stake in the matter, and deeply involved in or even dominated the entire process. On October 1, 2025, the Dutch Ministry of Economic Affairs submitted a supporting letter to the Enterprise Court; on October 6, 2025, the Dutch Ministry of Economic Affairs submitted a supportive defense statement to the Enterprise Court and sent lawyers to attend the hearing, clearly stating that it could not determine whether NXP would comply with the previous administrative order, and therefore called for "the Enterprise Court's swift intervention to avoid this situation." Under the participation and strong promotion of the Dutch Ministry of Economic Affairs, the Enterprise Court, without giving the Chinese shareholders a reasonable opportunity to present their case, unilaterally made emergency measures on October 7, 2025, including suspending the positions of Chinese directors and placing almost all shares held by the Chinese shareholders under custody (leaving the Chinese shareholders with only one share). The administrative order by the Dutch Ministry of Economic Affairs and the emergency measures by the Enterprise Court complement each other, have the same goal, and cooperate with each other—systematically depriving Wangtai Technology of its legitimate rights and interests as the 100% shareholder of NXP. It can be seen that the Dutch Ministry of Economic Affairs is not only the "originator" of the entire incident but also the "behind-the-scenes manipulator" of the Enterprise Court proceedings. Currently, the emergency measures made by the Enterprise Court have not been canceled, and the control over NXP has not been returned to its legitimate owner.

III. The Full Rights of Wangtai Technology as a Shareholder and Its Legitimate Control Over NXP Must Be Restored

Although the Dutch Ministry of Economic Affairs' move to suspend the administrative order has taken the first step toward properly solving the problem, it is by no means the solution to this incident. Our company urges the Dutch Ministry of Economic Affairs to face the essence of this incident and quickly and thoroughly correct its mistakes. Not only should the Dutch Ministry of Economic Affairs permanently revoke the administrative order issued based on the Act on Availability of Goods, withdraw its participation and support for the Enterprise Court, but it should also ensure that the legitimate control rights of Chinese shareholders and the legitimate rights of Chinese personnel are restored, and restore NXP to the state before September 29, 2025.

Our company firmly demands that any genuine solution must be based on restoring the full rights of Wangtai Technology as a shareholder and its legitimate control over NXP. Wangtai Technology will not accept any attempts to "legitimize" illegal results, nor will it accept a new "normal" of NXP's equity and governance created by an illegal procedure. Our company will take all legal means to maximize the protection of our company's and all shareholders' legitimate rights and interests.
